Why Do Companies Go Public? Goldman Sachs and Facebook Case

這是財務管理課可以用的上的例子。公司不公開上市除了缺少向投資人公開籌募資金這個管道外,對於現有股東也有一些額外的限制。

簡單的說,美國法規限制對未公開上市公司的宣傳、廣告,而 Goldman Sachs 手上一堆 Facebook 的股權,這些股票雖然價值不婓,但是 GS 在試圖轉賣時無法自由推銷。對於一般的 venture capitalist 來說,這也是他們為何把股票上市作為 exit strategy 中很重要一部份的原因。不只是上市之後流動性較高比較容易賣,他們也可以靠宣傳來提升公司及股票價值。Facebook 這個公司的名聲已經很大,不需要太多宣傳。不過如果我們相信 Merton (1987) JF 這篇理論文章的推論,在資訊不對稱的世界裡,具有同樣 intrinsic value 的公司中,越為投資人所熟知的評價越高 (valuation, not reputation),打廣告、推銷還是很重要的。

話又說回來,流動性低的股票本來在價格上就有 discount,所以 Goldman Sachs 這次跟 Facebook 這個例子是個法律和制度面的好範例,類似的情況很難分辨到底股價低是因為 Merton 所提的資訊不對稱還是單純的市場交易流動性不足的原因,這兩者本來就是相關的。

這個事件對於 Goldman Sachs 最大的影響可能是他們在將來 Facebook 真正要上市時無法出來主導 IPO。雖然他們手上目前 $1.5BN 的部位已經算不少,不過這部份能賺到的錢跟在 IPO 裡面做 lead underwriter 相較還是少賺不少。這個事件的另外一個教訓是由於美國本土限制多,Goldman Sachs 被迫只好把手頭上的 Facebook 股權賣給外國投資人,而不賣給美國人,以免誤踩 SEC 的紅線。這跟 Sarbane-Oxley act 因 Enron 等公司的案子而出台後,有許多公司寧願下市成為 private company 或者轉到倫敦去上市的情況類似。管制者與管制對象之間的互動是動態的,不能假設公司會單純服從新的規則而不做調整以規避這些管制。

Sorry, that is so not my field. I know that's interesting and it could help a lot in valuation for M&A, but one can only do so much.

With the limited information I have, I came across a book written by Altman for this topic. I hope that might interest you.
